11. Install Conditions

a)    Site Requirements and Change Orders: Customer warrants that the site shall be clear, level, and                               continuously accessible for work. Bliss may immediately stop work and issue a change order for additional               compensation if it encounters: (1) site conditions requiring remediation (including but not limited to grading,           buried rock, tree roots, bedrock); (2) concealed materials or conditions; (3) utility conflicts; or (4) any condition         requiring remobilization or materially different from at time of quote. Customer shall promptly review and               approve such change orders, and work may remain suspended until approval. Failure to approve within five             (5)  business days constitutes acceptance of the change order. Re-mobilization due to site condition issues                 may incur additional charges at prevailing rates.

b)   Mobilization & Work Hours: The quoted price is based on a predetermined number of mobilizations. Any                 additional mobilizations required as a result of changes to the project scope will incur additional labor                       charges. Restricted hours, overtime, holidays and/or weekend work may result in additional charges unless               specified in project scope.

c)    Utility Location & Liabilities:

i.        Public Utility Locates: While Bliss will request public utility location services through relevant local                              811 and as required by law, Customer acknowledges that ultimate responsibility for utility                                              identification and protection remains with the property owner. Bliss’s obligation is limited to                                          compliance with local 811 requirements and avoiding marked utilities.

ii.        Responsibility for Marking Utilities: Customer shall be solely responsible for identifying,                                        marking, and protecting all utilities (both public and private) in the work area. While Bliss will                              exercise reasonable care and comply with local 811 requirements for public utility location, Bliss                        shall not be liable for any damage to: (a) unmarked utilities; (b) incorrectly marked utilities; or (c)                                utilities not disclosed to Bliss in writing prior to commencing work. Customer shall indemnify and hold                        Bliss harmless from any claims, damages, or losses arising from utility-related incidents where                                      Customer failed to properly mark or identify utilities.

iii.        Private Utility Locates: Private utility locates, relocations, or repairs are not included in the quote.                              The Customer is responsible for locating and marking all private utilities.

iv.        Liability for Unmarked Utilities: Customer assumes all risk and liability for damage to unmarked                                utilities, whether public or private. Prior to any excavation work, Customer shall: (1) ensure all private                        utilities are properly marked; (2) provide Bliss with current utility surveys; and (3) indemnify and hold                          Bliss harmless from any claims, damages, or losses arising from unmarked or incorrectly marked                                  utilities. Bliss’s obligation extends only to avoiding marked utilities identified prior to excavation.

d)     Permitting & Site Surveys: Unless explicitly included in the written quote, Customer shall be solely                            responsible for: (a) obtaining and maintaining all necessary permits, licenses, and approvals; (b) providing                  certified site surveys; and (c) ensuring compliance with all local codes and regulations. Customer                                  acknowledges that any delays or additional costs resulting from permit issues, survey inaccuracies, or                        regulatory compliance are Customer’s responsibility and may result in additional charges and/or schedule                modifications. Any delays due to permit issues are not the responsibility of Bliss. Permit fees are not included          in the quote unless explicitly stated. If permitting required, material cannot be ordered until permit(s)                        approved. Bliss Products & Services, Inc cannot be responsible for delays in schedule due to permit approval.          In most circumstances, a permit must be approved by all jurisdictions prior to the order being submitted to              manufacturing. This is a means to protect all parties from changes requested through the permitting                          department(s)

e)
Water & Electrical Access: The Customer must provide water and electrical sources for use during                             installation. Failure to do so may result in project delays or additional charges.

f)
Site Restoration: Bliss will smooth the jobsite upon completion, but full site restoration (e.g., replacing sod)             is not included unless specified in quote.

g)      Staging & access to site: The Customer is responsible for providing a designated area for material staging,               employee parking, and access for trucks and equipment. Additionally, the Customer shall ensure the                           provision of necessary facilities, including but not limited to portable                            restrooms.

h)      Force Majeure & Weather Delays: Bliss shall not be liable for any delays, damages or increased costs                        caused by weather, acts of God, labor disputes, material shortages, transportation delays, governmental                    actions, or other circumstances beyond Bliss’s reasonable control. Such events will automatically extend                    project timelines without penalty and entitle Bliss to equitable adjustments in price for increased costs.                      Weather conditions that prevent proper installation per manufacturer specifications shall be deemed                        legitimate delay events. Customer acknowledges that certain installations require specific temperature and              moisture conditions, and schedule modifications may be required to ensure proper installation.

i)       Liability for Vandalism & Theft: Bliss is not responsible for any damage or loss due to vandalism, third-party           damages, or theft during or after installation.

j)       Customer Compliance with Manufacturer Guidelines and Warranties: The Customer agrees to comply                 with all manufacturer requirements and guidelines related to the products and services provided under this             agreement. The Customer shall be entitled to manufacturer warranties only to the extent that such                             compliance is maintained. Bliss shall install products in strict accordance with manufacturer guidelines,                     warranties and requirements. Bliss shall not be obligated to perform installations that would violate any                   manufacturer specifications or requirements.

Unless explicitly included in the Project Scope, price excludes: (a) substrate materials; (b) surface patching or leveling; (c) drainage systems; (d) site security; (e) post-installation testing; and (f) applicable sales tax.

BLISS PRODUCTS SHALL NOT BE LIABLE FOR ANY SURFACING SYSTEM ISSUES, DEFECTS, OR FAILURES RELATED TO: (A) SITE GRADING; (B) SUBGRADE MOVEMENT OR SETTLEMENT; (C) IMPROPER DRAINAGE; OR (D) ANY OTHER SUBSURFACE CONDITIONS OCCURRING AFTER SURFACING SYSTEM INSTALLATION. CUSTOMER ASSUMES ALL RISKS RELATED TO SUCH CONDITIONS.

1.
Mobilization: Unless otherwise specified in the Project Scope, the quoted price includes one (1) mobilization.           Additional mobilizations, whether due to project scope changes, site conditions, or other factors not                           attributable to Bliss, will incur additional charges at prevailing rates. Work performed outside standard                       business hours (Monday-Friday, 7:00 AM – 5:00 PM), including overtime, holidays, and weekends, will incur                 additional charges unless explicitly included in the Project Scope.

2.      Site Security During Curing: Customer shall: (a) prevent all foot traffic and other access to the project area               for a minimum of forty-eight (48) hours after top coat completion; (b) provide continuous security measures             to protect the installation during the curing process; and (c) assume all liability for any damage, defects, or               performance issues resulting from unauthorized access or inadequate security during the curing period. Any           repairs necessitated by curing period damage shall be performed at Customer’s sole expense. Time is of the             essence for this security obligations process. Bliss is not liable for any damage or loss during this period                     unless otherwise noted.

3.
Compaction and Sub-base: Poured in place installations require a stable and compacted sub-base. If the                 existing soil is too loose or unstable, it must be compacted or stabilized to ensure the proper installation of               the turf. Bliss will not proceed with installation unless the sub-base meets necessary compaction                                 requirements, and additional charges may apply if re-mobilization or additional site work is required.

4.      Installation Conditions and Weather Impact: (a) PIP installations require temperatures be at 45 degree F               or greater and rising at the time of installation of the surface and remain at 33 degrees F or greater for at                   least 24 hours after application (varies on manufacturer) for proper  installation and curing; (b) Bliss shall                   have sole discretion to determine whether conditions are suitable for installation; (c) Customer                                     acknowledges that weather-related delays are outside Bliss’s control and may impact project timeline and                 costs; (d) any remobilization required due to unsuitable conditions shall be at Customer’s expense; and (e)                 Customer waives any claims for delays or additional costs resulting from weather conditions or moisture-                 related installation postponements.

5.      Site Requirements and Change Orders: This proposal assumes the site meets all specifications provided                   including proper grade, compaction, and drainage. If Bliss encounters: (a) conditions materially different                   from those specified; (b) concealed conditions requiring additional work; or (c) Customer-caused delays or                 access restrictions, Bliss shall issue a Change Order detailing additional costs and timeline impacts. Customer           shall promptly review and execute Change Orders, and Bliss may suspend work until executed Change                       Orders are received. Re-mobilization due to site condition issues will incur additional charges at prevailing                 rates.

6.      No Demolition or Disposal: The proposal does not include demolition or removal of existing materials                       unless otherwise specified.

7.      Site Configuration: The quote will specify the total square footage for the Poured-in-Place (PIP) area. Any                 alterations to the agreed-upon design or square footage may necessitate a change order and result in                         additional costs.

8.      Product Specifications: Refer to the product specifications for detailed information on installation,                             compliance, and warranties.

9.      Site Access & Utility Shutoff: A minimum of 25′ for trucks and mixers is required, with no stairs. Sprinkler                 systems must be shut off 24 hours before installation and remain off for 24 hours post-installation.

Turf Addendum

Effective Date: January 1, 2025

              1.
Mobilization: The quoted price includes a predetermined number of mobilizations for the                                              installation. Any additional mobilizations required due to changes in the project scope, site                                            conditions, or delays will incur additional labor charges. Overtime, weekend, or holiday work not                                  included in the original project scope will also result in extra charges.

              2.       Site Access: The customer is responsible for ensuring that the site has clear and level access for                                  equipment and delivery trucks. A minimum of 100 feet of access is required for heavy equipment                                and trucks. Any restrictions, such as narrow pathways, stairs, or obstructions, must be                                                    communicated in advance. Failure to provide adequate access may result in additional charges or                                project delays.

             3.        Ground Preparation: The quoted price assumes that the installation site is fully prepared and                                      graded as per the project specifications. If additional site preparation, such as excavation, sub-base                            grading, or soil stabilization, is required, this will result in a change order and may incur additional                              charges. Bliss is not responsible for ground preparation unless specifically outlined in the scope of                              work.

           4.
Drainage: Proper drainage is essential for the successful installation of synthetic turf. The customer                           is responsible for ensuring the site has an adequate drainage system in place. Bliss is not liable for                               drainage issues, such as standing water, unless drainage solutions are explicitly included in the                                     project scope.

          5.         No Demolition or Disposal: This proposal does not include the demolition or disposal of existing                                materials, including old turf, concrete, or other structures unless specifically noted in the scope of                                work. Any additional demolition or disposal required will be processed as a change order and will                                incur extra charges.

          6.
Compaction and Sub-base: Synthetic turf installations require stable and compacted sub-base.

           7.        Product Specifications: The synthetic turf installed will meet industry standards for durability,                                    performance, and safety. Product specifications, including warranties, are available upon request. The                        customer should refer to these specifications for details regarding material performance and                                        compliance with applicable regulations.

         8.          Infill Installation: Synthetic turf installations typically require infill materials, such as a microbial sand                        or rubber granules, to ensure proper performance and safety. The quoted price includes infill as per                            the project specifications. Any changes to the type or amount of infill material will require a change                            order and may result in additional costs.

         9.          Weather Conditions: The installation of synthetic turf is weather-dependent. Bliss reserves the right                          to delay installation in the event of adverse weather conditions, including rain or extreme                                              temperatures, which could affect the quality of the installation. Bliss is not liable for delays caused by                          weather.

      10.          No Warranty on Existing Conditions: Bliss will not provide warranties on existing site conditions,                               such as soil compaction, drainage, or sub-surface stability, unless these are specifically addressed as                           part of the project scope. Any failure of the synthetic turf system due to inadequate site preparation                           not performed by Bliss is not covered under warranty.

     11.          Changes to Design or Coverage Area: The quoted price is based on the agreed-upon design, layout,                          and total square footage of the turf area. Any changes to the design or square footage will require a                            change order and may result in additional charges and project delays.

     12.         Site Restoration: This proposal does not include site restoration services. Any damage to the                                       surrounding landscape or structures caused by equipment during installation, such as ruts or disturbed                     soil, will not be repaired unless site restoration is explicitly included in the project scope.

     13.
Utility and Sprinkler Shutoff: The customer is responsible for identifying and marking any                                           underground utilities, such as sprinkler systems, prior to installation. Sprinkler systems must be turned                     off and remain off during and after installation. Bliss is not responsible for damage to utilities that are                         not properly marked.

    14.         Maintenance: Ongoing maintenance of synthetic turf, including brushing, infill top-ups, and                                           inspections, is required to maintain performance. The customer is responsible for periodic                                             maintenance unless otherwise agreed upon in a maintenance contract.

Terms & Conditions addendum:EWF Exhibit

Effective Date: January 1, 2025

1.
Mobilization: Unless otherwise specified in the Project Scope, the quoted price includes one (1)                                    mobilization. Additional mobilizations, whether due to project scope changes, site conditions, or other                        factors not attributable to Bliss, will incur additional charges at prevailing rates. Restricted hours, overtime,              holiday, or weekend work outside of the project scope will result in additional costs. Bliss is not responsible              for delays caused by site conditions or interruptions unrelated to weather or public emergencies.

2.
Compaction: Proper compaction of the Engineered Wood Fiber is critical to ensuring compliance with safety            standards. Bliss will perform the necessary compaction as part of the installation process. Failure to allow                  adequate time for the installation and compaction process may result in substandard performance and void            warranties. EWF is a naturally engineered wood fiber product that naturally decomposes and compacts                      over time. The Customer shall be responsible for regular inspection and maintenance, including replenishing            EWF as needed, to maintain proper fall heights for play equipment in compliance with applicable safety                      standards. EWF will also need to be raked under moving play components such as swings, slide runouts, and            any high-impact areas, as the children will kick out or move the EWF in these high-traffic areas.

3.
Drainage Requirements: It is the customer’s responsibility to ensure that proper drainage systems are in                 place before EWF installation. Bliss is not responsible for standing water or poor drainage unless specific                   drainage solutions are outlined in the project scope. Any post-installation drainage issues will not be covered           unless the scope includes drainage provisions.

4.
Tannins: Engineered Wood Fiber is a natural product, and the release of tannins (organic compounds) during           the early stages after installation may temporarily discolor nearby surfaces or drainage water. This is a                       normal process, and Bliss is not liable for any staining or discoloration caused by tannins.

5.       Site Access: Customer shall provide a minimum of 100 feet of level, unobstructed access for 53′ semi/tractor            trailer deliveries, with no stairs, overhead obstructions, or tight corners that would impede access to the                    drop location. Customer acknowledges that failure to provide adequate access may result in additional                      delivery charges, project delays, or both. Bliss shall not be liable for any damage to landscaping, utilities, or              structures resulting from vehicular access on paths designated or approved by Customer. Any restrictions in            access that require smaller vehicles, or additional labor will result in extra charges.

6.
Site Preparation and Restoration: The customer is responsible for ensuring that the site is properly                          prepared for installation, including grading and drainage. This proposal does not include site restoration.                  Any damage caused to the landscape, including ruts or disturbed soil, will not be repaired by Bliss unless site            restoration services are specifically included in the project scope.

7.
Skid Steer Usage: If the customer has not requested blow-in service for the mulch installation, a skid steer               will be used to distribute the mulch. Please be aware that using a skid steer may cause damage to existing                 landscaping, including grass, plants, and paved surfaces. Bliss is not responsible for repairing any damage                 caused during this process unless otherwise noted.

8.      Security and Maintenance: Upon completion of installation and Customer’s written acceptance, Customer             shall be solely responsible for securing the site and maintaining the EWF material. Bliss shall have no liability             for any damage, loss, or displacement of the EWF material occurring after installation completion. Customer             shall perform all periodic maintenance, including but not limited to material replenishment, depth                               measurements, and safety inspections, at Customer’s sole expense unless otherwise specified in a separate             maintenance agreement executed by both parties.

9.     Product Specifications and Standards: The EWF material installed shall meet or exceed ASTM F2075                          standards and applicable ADA accessibility requirements. Customer acknowledges receipt of product                          specifications detailing installation methods, maintenance requirements, warranty terms, and safety                          compliance standards. Bliss makes no warranties beyond those expressly stated in the product specifications          and installation documentation provided to Customer.

Customer shall pay all additional costs associated with such changes, including but not               limited to materials, labor, mobilization, and overhead costs. Bliss reserves the right to suspend work until               receipt of an executed change order and may adjust project timeline accordingly.

11.   No Demolition or Disposal: This proposal does not include the demolition, removal, or disposal of existing              materials unless specifically outlined in the scope of work. Any additional work required beyond what is                    specified may result in additional charge

Shade & Shelter Addendum

Effective Date: January 1, 2025

1.            Mobilization and Work Schedule: The quoted price includes 1 (one) mobilization(s) during standard                           business hours (Monday-Friday, 7:00 AM – 4:00 PM, excluding holidays). Additional mobilizations required                   due to Customer’s site readiness issues, scope changes, or other factors outside Bliss’s control shall incur                 a change order. Work performed outside standard business hours, including weekends and holidays, shall                 be billed at 1.5x standard rates unless specifically included in the Scope of Work. Customer shall provide                   written authorization for any additional mobilizations or non-standard work hours prior to                                             commencement.

2.
Site Clearance and Overhead Obstructions: Customer warrants that the installation area shall be free                     from all overhead obstructions, including but not limited to power lines, telecommunications cables, tree                   branches, or other structures that may interfere with installation. Customer shall be solely responsible for                 identifying, removing, or relocating any obstructions prior to Bliss’s scheduled mobilization date. If Bliss                     encounters any overhead obstructions that prevent safe installation, work shall be suspended until                             Customer remedies the condition at its sole expense. Any resulting delays or remobilizational costs shall                   be documented in a change order and paid by Customer.

3.           Lift or Lull Access: For large shade structures, adequate 360-degree access around the site is required for                a lift or lull to operate safely. The customer is responsible for ensuring that the access points are                                  unobstructed and that the ground conditions can support the use of heavy equipment. If access                                  limitations prevent equipment operation, additional labor or smallerequipment may be required at the                      customer’s expense.

4.
Ground Density and Testing Requirements: Customer warrants that the installation site shall have                          stable ground density suitable for the shade structure installation. If Bliss determines, in its sole                                  discretion, that soil conditions are unsuitable due to loose-filled soil, instability, or other factors, Customer                shall, at its sole expense, provide necessary soil stabilization or ground preparation before installation                        may proceed. Customer acknowledges that local building authorities may require ground density testing                    for structure footings prior to installation. All costs associated with such testing, including but not limited                  to engineering reports, soil analysis, and density measurements, shall be Customer’s sole responsibility.                    Bliss reserves the right to suspend work until satisfactory results are provided for testing.

5.
Site Access: The customer must ensure a minimum of 360-degree access for heavy equipment around the                installation site. Any restrictions on access, such as narrow pathways, steps, or landscaping features, must                be communicated in advance. Failure to provide adequate access may result in additional mobilization or                  equipment charges.

6.          Foundation Preparation and Underground Conditions: The quoted price is based on Customer’s                               warranty that the site has been properly prepared per Bliss’s specifications, including all necessary                             excavation and grading. Unless explicitly included in the Scope of Work, Bliss shall not be responsible for                   sub-base preparation. Customer acknowledges that any additional foundation work, including but not                       limited to concrete footings or soil stabilization, shall require a written change order and result in                                 additional costs. If underground obstructions (including but not limited to rock, debris, vegetation, utilities,               or other impediments) are encountered during installation, Customer shall be responsible for all additional               costs associated with their removal or remediation, which shall be documented in a written change order.                 Customer represents and warrants that it has disclosed all known underground conditions to Bliss prior to               execution of this Agreement.

7.
No Demolition or Disposal: This proposal does not include the demolition, removal, or disposal of existing               structures or materials unless otherwise specified. Any additional work required outside the agreed-upon                 scope will be subject to additional charges.

8.
Weather and Wind Conditions: The installation of shade structures is weather-dependent, particularly                     with regard to wind conditions. Bliss reserves the right to delay installation if weather conditions are                           deemed unsafe for the installation process. Bliss is not responsible for delays caused by adverse weather                 conditions.

9.
Product Specifications: The installed shade structure will meet industry standards for durability and                         safety. Refer to product specifications for details regarding the materials, installation process,                                       warranties, and compliance with applicable regulations.

10.
Changes to Design or Location: The quoted price is based on the agreed-upon design, size, and location.                  Any changes to these factors after installation has begun will require a change order and may result in                        additional costs and delays.

11.
Site Restoration: The proposal does not include site restoration services. Any damage to the surrounding                  landscape or infrastructure resulting from the installation process, including equipment use, will not be                    repaired unless specifically stated in the scope of work. The customer is responsible for any site                                    restoration required after the installation is complete.
